ITC has completed the acquisition of 100% of Sproutlife Foods, the parent company of healthy snacking brand Yoga Bar, by purchasing the remaining 52.5% stake for around ₹645 crore. The transaction, effective September 28, increases ITC's holding from 47.5% to full ownership, making Sproutlife a wholly owned subsidiary, according to an exchange filing by ITC.
The acquisition follows ITC’s initial investment in January 2023 when it acquired a 39.4% stake in Sproutlife through a ₹175 crore primary share subscription and secondary purchases. ITC subsequently increased its stake to 47.5% with an additional ₹80 crore investment. The latest purchase involved acquiring 13,445 equity shares through a secondary transaction, completing the planned tranche acquisition over three to four years.
Yoga Bar, founded in 2014 by Suhasini Sampath Kumar and Anindita Sampath Kumar, offers a range of healthy snacking and breakfast products including nutrition bars, muesli, oats, and cereals. Sproutlife Foods reported a turnover of ₹452 crore in FY26, up from ₹200 crore in FY25 and ₹108 crore in FY24. This acquisition aligns with ITC’s strategy to build a diversified and future-ready food portfolio, expanding beyond its traditional FMCG segments.
ITC has been actively acquiring digital-first direct-to-consumer brands as part of its expansion in the foods segment. The company’s move to fully acquire Yoga Bar marks a significant step in its D2C acquisition push, following agreements signed in February 2025 to acquire stakes in other digital food brands.
