Aurum PropTech to acquire Housing.com for ₹458 crore

The deal will be executed through a share swap, with Aurum issuing nearly 1.98 crore new equity shares to REA at ₹231.42 apiece. The acquisition is expected to close before September 30, 2026, subject to shareholder and regulatory approvals, according to inc42.com.

The transaction will increase REA India’s stake in Aurum PropTech from 5.54% to 24.9%, making it one of the company’s largest shareholders. Alongside the acquisition, Aurum PropTech will issue 51 lakh convertible warrants worth up to ₹118 crore to its promoter entity, Aurum RealEstate Developers, at the same price of ₹231.42 each. These warrants can be converted into equity shares within 18 months, enabling fresh capital infusion into the company, inc42.com reported.

Housing.com’s marketplace attracts over 5.8 crore monthly visitors and has more than 1.2 crore monthly active users. Aurum PropTech aims to create an end-to-end technology stack covering the entire real estate lifecycle by integrating marketplace and transaction services on a single platform. This integration is intended to enhance efficiency and customer experience by connecting consumers, builders, and brokers for rentals and transactions, according to inc42.com.

The acquisition is set to complete before September 30, 2026, pending necessary approvals. Post-deal, REA India will hold a 24.9% stake in Aurum PropTech, marking a significant increase from its previous shareholding of 5.54%, inc42.com stated.
